1.
Introduction & Acceptance of Terms
1.1. The
Agreement: Welcome to
the EduPeaks Affiliate Program (the "Program"). These Terms and
Conditions (the "Affiliate Terms") constitute the legal agreement
between you ("you", "Affiliate", "Partner") and
EduPeaks ("we", "us", "Platform") regarding your
participation in the Program.
1.2.
Acceptance: By
submitting your application to join the Program, you acknowledge that you have
read, understood, and agree to be fully bound by these Affiliate Terms. These
terms are a supplement to our main Terms of Service
and Privacy Policy, which are
incorporated herein. In case of any conflict, these Affiliate Terms shall
prevail concerning the Program only.
2. Definitions
Affiliate
Link: A unique
tracking URL provided to you to track referrals.
Commission: The percentage of Qualified Revenue
you earn for each Referred Customer.
Referred
Customer: A new user
who makes a Qualified Purchase of a paid subscription on the Platform after
clicking your Affiliate Link.
Qualified
Purchase: The
purchase of a paid subscription plan (monthly or annual) by a Referred Customer
that is not refunded, canceled, or deemed fraudulent within the confirmation
period.
Cookie
Duration: The time
period during which a purchase is attributed to you after a user clicks your
link (e.g., 60 days).
Payout
Threshold: The
minimum accumulated commission balance required to request a payout.
3. Joining
the Program
3.1.
Eligibility: Our
program is open to all EduPeaks users. You must be of legal age.
3.2.
Application Approval:
We reserve the right, at our sole discretion, to approve or reject any
application to join the Program for any reason.
4.Affiliate
Responsibilities & Obligations
4.1.
Ethical Promotion:
You agree to promote EduPeaks in a professional and ethical manner. Any form of
spamming, misleading advertising, or false claims about our services is
strictly prohibited.
4.2.
Disclosure: You must
clearly and conspicuously disclose your affiliate relationship with EduPeaks
wherever you promote your link, in accordance with local and international laws
and regulations (such as FTC guidelines).
4.3. Brand
Restrictions: You may
not bid on our branded keywords "EduPeaks" or any misspellings in
Pay-Per-Click (PPC) advertising campaigns. You may not create websites or
social media profiles that impersonate the official EduPeaks brand.
4.4.
Content Responsibility:
You are solely responsible for your website's content and marketing channels
and for ensuring they do not contain offensive or illegal material.
4.5.
Accurate Information:
You are responsible for keeping your account and payment information up to date

Tracking Links & Cookies
5.1.
Unique Links: Upon
approval, you will be provided with a unique Affiliate Link through your
affiliate dashboard. You are responsible for ensuring you use this link
correctly.
5.2.
Tracking Mechanism:
Referrals are tracked via cookies placed on a user's device when they click
your Affiliate Link.
5.3.
Cookie Duration: Our
cookie duration is [Suggestion: 60 days]. This means if a user clicks
your link and doesn't purchase immediately but returns and makes a Qualified
Purchase within 60 days, the commission will still be attributed to you.
5.4. Last
Click Policy: The
commission will be credited to the last Affiliate Link a customer clicked
before making the Qualified Purchase
6.
Commissions
6.1.
Commission Rate: You
will earn a 10% commission on the Qualified Revenue we receive from each
Qualified Purchase made by a Referred Customer.
6.2.
Commission Type: The
commission is Lifetime Recurring. This means you will receive 20% of every
subscription payment (monthly or annual) made by the Referred Customer for
as long as they remain a paying subscriber to EduPeaks.
6.3.
Qualified Revenue:
Commissions are calculated only on the net subscription fees paid by the
Referred Customer. Commissions are not calculated on any taxes, payment gateway
fees, refunded purchases, add-on fees, or any other revenue other than the base
subscription fees.
6.4.
Qualified Purchase: A
purchase is considered "Qualified" and the commission is added to
your payable balance after a [Suggestion: 45-day] confirmation period
from the payment date. This period is necessary to account for any refunds,
cancellations, or transaction verifications.
6.5.
Commission Exclusions:
No commission will be paid on:
Purchases you
make for your own accounts.
Purchases
that are refunded or canceled.
Purchases
deemed fraudulent or in violation of these Terms.
7. Payouts
7.1.
Minimum Payout Threshold: Your confirmed commission balance must reach the minimum payout
threshold of 5000 egyption pound or its equivalent to be eligible for a
withdrawal request.
7.2.
Payout Schedule:
Payout requests are processed and earned commissions are paid out on a
monthly basis (e.g., on the 15th of each month for commissions confirmed in
the previous month).
7.3.
Payout Methods:
Commissions will be paid via the available methods we specify, which may
include Bank Transfer or any ather method.
7.4.
Payout Fees & Taxes: You are solely responsible for any fees charged by the payment service
(such as bank transfer fees). You are also solely responsible
for reporting your earnings and paying any income or other taxes due on them
according to your country's laws
8.
Termination
8.1.
Termination by You: You
may terminate your participation in the Program at any time for any reason by
providing us with written notice via email.
8.2.
Termination by Us: We
reserve the right, at our sole discretion, to suspend or terminate your
affiliate account and participation at any time, with or without cause, and
potentially without prior notice. Reasons for termination include, but are not
limited to:
Violation of
any provision of these Affiliate Terms or the main Platform's Terms of Service.
Engaging in
any unethical, misleading, or fraudulent promotional activities (including
spam).
Prolonged
inactivity with no referrals or clicks (e.g., 6 months).
Featuring
offensive or illegal content on your promotional channels.
8.3.
Effect of Termination:
Upon termination of your affiliate account, all your tracking links will be
deactivated. You will not be eligible for any commissions on sales that occur
after the termination date. We reserve the right to forfeit any accrued and
unpaid commissions if your account is terminated due to a material breach of
these terms (such as fraud).
9. Relationship
of Parties
You and EduPeaks are
independent contractors. Nothing in this Agreement will create any partnership,
joint venture, agency, franchise, or employment relationship between the
parties. You have no authority to make or accept any offers or representations
on our behalf.
10. Limitation
of Liability & Disclaimer of Warranties
Disclaimer of Warranties: We make no express or implied warranties or representations with
respect to the Program or any products or services sold through it. We do not
guarantee that our site's operation will be uninterrupted or error-free.
Limitation of Liability: We will not be liable for any indirect,
incidental, special, or consequential damages (including loss of revenue,
profits, or data) arising in connection with this Agreement or the Program,
even if we have been advised of the possibility of such damages. Our aggregate
liability with respect to this Agreement and the Program will not exceed the
total commission fees paid or payable to you under this Agreement.
11.Dispute
Resolution & Governing Law
These Terms and any
dispute arising from them shall be governed by and construed in accordance with
the laws of the Arab Republic of Egypt. You agree that the Egyptian
courts shall have exclusive jurisdiction to adjudicate any dispute
that may arise. (This must be consistent with the main Terms of Service).
12.Changes
to the Terms
We may modify any of
the terms and conditions in this Agreement at any time and at our sole
discretion. We will notify you of any changes by posting a new agreement on our
site or by email. Your continued participation in the Program following the
posting of changes will constitute your binding acceptance of the
modifications.
